The JSE-listed retail REIT more than doubles its initial R500M equity target following strong institutional demand, deploying proceeds toward commuter-hub shopping centers and township fiber infrastructure.

JOHANNESBURG — JSE-listed real estate investment trust Fairvest Limited has successfully raised R1.25 billion (~$76 million) through an oversubscribed accelerated bookbuild.

Driven by strong institutional investor appetite, the transaction was upsized from an initial R500 million target. Managed by sole bookrunner Java Capital, Fairvest will issue 185.18 million new B shares at R6.75 per share, representing a tight 2.7% discount to the 30-day volume-weighted average price (VWAP). The new B shares are scheduled to commence trading on the Johannesburg Stock Exchange on October 23, 2026.

Pure-Play Retail Strategy & Portfolio Acquisition

The equity raise accelerates Fairvest’s transition into a pure-play retail REIT focused on lower-income and commuter shopper demographics, divesting non-core office and industrial properties:

  • Retail Asset Acquisition: Proceeds will settle remaining purchase liabilities on recent acquisitions, including Jozini Mall and Tugela Ferry Mall—two Shoprite-anchored commuter centers in northern KwaZulu-Natal spanning over 34,000 m²—acquired for R700.4 million at a 10.17% initial yield.
  • Capital Market Track Record: Marks Fairvest’s fourth successful bookbuild in 19 months (following R900 million in April 2026, R976 million in August 2025, and R400 million in March 2025), bringing total equity capital raised to ~R3.5 billion as its share price appreciated from R4.70 to R6.75.
  • Portfolio Positioning: Commuter and community centers situated near taxi ranks and transit corridors now account for ~70% of total rental income. Fairvest also holds a 23.6% stake in Dipula Income Fund and a 55.3% controlling stake in Onepath, a township fiber connectivity provider.

Market Commentary

For the six months ended March 31, 2026, Fairvest reported a 12.3% increase in distribution per B share to 25.94 cents, backed by 8.0% like-for-like net property income (NPI) growth. Dividend contributions from Onepath surged to R37.8 million (up from R3.0 million in the prior period).
