Qalaa Holdings Moves to Buy QatarEnergy’s Egyptian Refining Company Stake for $420M
The Cairo-listed investment firm expands its effective ownership in the $4.3 billion Mostorod hydrocracking refinery, doubling its interest following full senior debt clearance by the refining asset.
CAIRO — Egyptian investment firm Qalaa Holdings (EGX: CCAP) has agreed to acquire QatarEnergy’s indirect equity stake in the Egyptian Refining Company (ERC) for approximately $420 million.
The transaction is structured via Qalaa's acquisition of a 55.4% stake in New Age Refining Limited, which will in turn purchase 100% of QPI Egypt Limited from QatarEnergy. QPI Egypt holds an effective 25.4% indirect interest in the Mostorod-based hydrocracking facility.
To fund the acquisition and balance sheet restructuring, Qalaa’s Board of Directors approved a EGP 3.87 billion (~$75 million) rights issue, issuing 773.5 million new shares to raise its paid-up capital to EGP 25 billion (~$485 million).
Asset Footprint & Strategic Rationale
Located in Mostorod, north of Cairo, the $4.3 billion ERC facility is one of North Africa's flagship downstream energy assets:
- Production Capacity: Processes atmospheric residue into 4.7 million tonnes of refined products and high-grade Euro V diesel annually, supplying state-owned Egyptian General Petroleum Corporation (EGPC) under long-term off-take contracts.
- Debt De-leveraging: The refinery fully settled its $2.3 billion senior debt package in June 2026 and cleared $244 million in subordinated debt in August 2026, removing dividend distribution restrictions and accelerating cash generation.
- Stake Consolidation: The buyout enables Qalaa Holdings, led by Founder and Chairman Ahmed Heikal, to double its effective control over ERC’s future cash flows as domestic demand for refined petroleum products accelerates.
