Woolworths Secures Regulatory Approval to Acquire 100% of Longtime Fresh Food Supplier In2food Holdings
South Africa's Competition Tribunal grants unconditional clearance for the retail giant to acquire its key manufacturing partner, consolidating an R5B+ annual fresh supply chain ecosystem.
CAPE TOWN — South African retail leader Woolworths (Pty) Ltd, a subsidiary of Woolworths Holdings Limited, has received final approval from the Competition Tribunal of South Africa to acquire 100% of fresh food and convenience meal producer In2food Holdings.
The regulatory clearance clears the path for the transaction to close within the coming month, bringing a 30-year operational partnership under direct corporate ownership. Selling shareholders include private equity firm Old Mutual Private Equity alongside the founding management team. Financial terms and the purchase price were not disclosed.
Scale, Financial Footprint, and Operational Synergy
In2food generates over R5 billion (~$285 million) in annual revenue, operating eight specialized food production facilities across South Africa and employing more than 8,000 workers. The company manufactures over 1,400 distinct product lines, producing upwards of 3.2 million packaged food items weekly, spanning prepared convenience meals, artisan bakery items, fresh produce, and gourmet soups.
The transaction represents a strategic move toward vertical supply chain integration for Woolworths Food:
- Supply Chain Resilience: Secures direct ownership of core cold-chain infrastructure, raw material procurement, and high-volume food processing hubs.
- Efficiency & Innovation: Accelerates product development timelines, improves speed-to-market for new food lines, and enhances operational agility in response to shifting consumer demand patterns.
- Revenue Diversification: Enables Woolworths to access non-retail revenue streams by leveraging In2food’s established commercial food-service supply contracts and export channels across international markets.
Corporate Governance and Integration Strategy
Following financial closing, In2food will operate as a standalone business entity within the Woolworths Group. The existing senior executive leadership team will remain in place to drive day-to-day manufacturing operations and preserve existing commercial relationships with non-competing external clients.
Woolworths confirmed that the acquisition is expected to be immediately earnings-accretive, with further long-term margin benefits anticipated as manufacturing synergies and operational efficiencies are realized over time.
